Product policy

SATCO PRODUCTS, INC INTERNET MINIMUM ADVERTISED PRICING (IMAP) POLICY SATCO Products Inc., Including the NUVO brand, has implemented this policy applicable to all SATCO customers effective March 17, 2015, in regard to customers’ advertising products supplied by SATCO Products over the Internet. I. SATCO customers maintain the right to establish their own resale prices. However, a customer may not advertise SATCO Products over the Internet at a net price less than the Internet Minimum Advertised Price (“IMAP”) which SATCO establishes from time to time. SATCO customers also may not sell SATCO Products to any other person who advertises or otherwise promotes SATCO Products over the Internet at a net price less than the IMAP SATCO establishes from time to time. II. If a customer violates this policy, SATCO will issue a warning and/or place the account on a shipping hold. III. If a customer ignores the penalties as listed in paragraph II, or otherwise breaks this policy repeatedly, SATCO reserves the right to discontinue shipping and/or close the account. IV. In executing this policy, SATCO will act at all times unilaterally, and will neither solicit, consider nor agree to any recommendation, request, or demand of any other person. All matters of interpretation and application of the terms of this policy shall remain within the sole, unilateral authority of SATCO. V. As used in this policy, “SATCO Products” means any product supplied by SATCO and included on either SATCO’s Distributor's Net Price Sheet “net price” means the stated price less all discounts, premiums, trade-ins, coupons, allowances and free goods or services offered with the SATCO Products. Each SATCO customer is free to decide independently whether or not to follow this Policy. SATCO neither seeks, nor will it accept, any assurance of compliance or agreement from a customer regarding this policy. Nor will SATCO discuss any conditions of acceptance related to this policy. No one is, has been or will be authorized to modify or alter this Policy, or to bind SATCO to any action inconsistent with its terms. This policy does not apply to discontinued or closeout merchandise.
